Toshiba sells its semiconductor business because of Western Digital "does not buy it"

On April 13th, there was news that Western Digital's CEO expressed dissatisfaction with Toshiba’s sale of its semiconductor business, saying that if Toshiba sells its semiconductor business, it would violate the contract between the two companies.

Toshiba and Western Digital have a joint venture semiconductor factory operating in Flash in Yokkaichi, Mie Prefecture. The joint venture company was initially created by the US chip company SanDisk and Toshiba, but SanDisk was acquired by Western Digital last year.

At the end of January this year, Toshiba convened a decision of the board of directors to split the semiconductor business into an independent company and sell 20% of the shares of the independent company, including a semiconductor factory joint venture with Western Digital. Toshiba said in a statement that they have been considering various options including spin-off but have not yet made a final decision.

On April 1, 2017, Toshiba divests the semiconductor division to establish an independent company and expects to spin off its semiconductor business to obtain funds. An executive from Toshiba revealed to the outside world that Foxconn Inc., a Taiwanese foundry manufacturer, Western Digital Corp., a US hard disk drive manufacturer, SK Hynix, a South Korean memory company, and Micron Technology, a US memory company, are all active participants in the bid.

Citing the Nikkei Industry News, it has been suggested that Toshiba be required to sell one-fifth of its chip business at 200-300 billion yen (1.77 billion to 2.66 billion U.S. dollars).

Recently, news revealed that Western Digital CEO Steve Milligan sent a letter to Toshiba management on April 9 stating that the signing of a joint venture contract prohibits one party from selling the joint venture without obtaining the consent of the other party. Shares.

Toshiba executives said they did not agree with Western Digital’s view that the sale of the semiconductor business did not violate the contract between the two companies.

Toshiba executives said that Western Digital also made a tender offer, but the offer was lower than other bidders. As of March 31, 2016, the Toshiba Semiconductor business had net sales of 1.58 trillion yen. (Tang Wen)
